Definitions

In these Terms:

• "Agreement" means these Terms, together with our Data Processing Addendum and Privacy Policy where applicable.
• "Customer," "you," or "your" means the individual or organization that creates an account to access the Service.
• "Service" or "Services" means UTM Assistant's products, including Inflight, and any associated websites, APIs, and support we provide.
• "Content" means the rules, configuration, and data you submit to or generate through the Service.
• "Subscription Plan" means the Free, Growth, Scale, or Pro plan, or any other plan we publish, that determines your usage allowances and fees.

The Service

UTM Assistant is a suite of tools for UTM taxonomy management. Inflight, our first product, corrects UTM parameters in real time inside your Google Tag Manager server-side container before the event reaches Google Analytics 4. We may add further products to the suite over time.

Accounts

You must provide accurate information when creating an account and are responsible for safeguarding your account credentials. You must be legally able to enter into a binding contract on behalf of your organization.

Plans & billing

The Free plan includes two GA4 properties, the full rule engine, and up to 10,000 visits checked per month, corrected where the ruleset determines a correction is needed, with no credit card required. Paid Subscription Plans (Growth, Scale, Pro) are flat monthly or annual fees based on your visit tier, covering the visits included in that tier — current rates are published on our Pricing page. Visits beyond a plan's included volume are billed as overage at €20.00 per additional 200,000 visits, the same rate on every paid plan, charged on your following invoice; service is never interrupted or throttled for exceeding your plan's included visits. Additional properties beyond the two included in every plan are billed on a graduated per-property scale — each property costs less as you add more — with current rates shown on our Pricing page. Fees are processed by our payment provider, Stripe, are exclusive of VAT unless stated otherwise, and are non-refundable except where required by law.

Acceptable use

You may not use the Service to process personal data you are not authorized to process, attempt to disrupt or reverse-engineer the Service, or use it in a way that violates applicable law.

Your data

As between us, you retain ownership of the rules, configuration, and end-user data you submit to the Service. Our processing of your end users' personal data on your behalf is governed by our Data Processing Addendum. Our processing of your own account and billing information is governed by our Privacy Policy.

Intellectual property

We retain all rights in the Service itself, including its software, design, and trademarks. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

Confidentiality

Each party may receive non-public information from the other in connection with the Service ("Confidential Information"). Each party will use the other's Confidential Information only to perform its obligations under these Terms, and will protect it with at least the same care it uses for its own confidential information, and no less than reasonable care. This obligation does not apply to information that becomes public through no fault of the receiving party, was already known to it without a confidentiality obligation, or is independently developed.

Disclaimers & limitation of liability

The Service is provided "as is." We do not guarantee it will be uninterrupted or error-free. To the maximum extent permitted by law, neither party is liable for indirect or consequential damages, and our aggregate liability under these Terms is capped at the fees you paid in the 12 months preceding the claim.

Termination

Either party may terminate the agreement as set out at signup or in an applicable order form. We may suspend or terminate access for material breach of these Terms or non-payment.

Governing law

These Terms are governed by French law. Any dispute arising from these Terms is subject to the exclusive jurisdiction of the courts of Paris, France.

Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes via the Service or by email.
